Terms and Conditions

  1. Engagement
    By engaging Zarlie for marketing services, you agree to these Terms & Conditions.
  2. Fees & Payment
    • Fees are outlined in your proposal/quote.

2.1 General Services
For services including (but not limited to) organic social media management, email marketing, blog writing, marketing consultancy, and website management, invoices will be issued at the start of each billing cycle or upon completion of work. Payment is due within 14 days of the invoice date unless otherwise agreed in writing.

2.2 Paid Media Services (Google Ads, Meta Ads, or similar platforms)
Where Zarlie manages and pays advertising platforms on behalf of the client, both the monthly management fee and the agreed ad spend are payable upfront at the start of each campaign month. Services will not commence until payment has been received. This ensures campaigns can be set up, managed, and optimised without interruption.

  • Ad spend and management fees must be paid upfront unless otherwise agreed.
  • Services will only commence once payment has cleared.
  • Ongoing services are billed monthly in advance.
  • Clients using both Paid Media Services and General Services may receive separate invoices to reflect these differing payment terms.
  1. Scope of Services
    • Services are limited to those outlined in the proposal/quote.
    • Any additional services (e.g., design, creative, landing pages) will be quoted separately.
  2. Client Responsibilities
    • The client must provide timely access to accounts, platforms, and assets.
    • Campaign outcomes depend on client cooperation and accurate information.
  3. Performance Disclaimer
    • Zarlie makes no guarantee of specific outcomes (e.g., leads, conversions, revenue).
    • Campaign results vary based on budget, market, and other factors.
  4. Intellectual Property
    • Creative assets produced by Zarlie remain Zarlie’s intellectual property until payment is received in full.
    • Upon full payment, ownership of final deliverables passes to the client.
  5. Confidentiality
    • Both parties agree to keep confidential all information shared during the engagement.
  6. Termination
    • Either party may terminate services with 30 days’ written notice after the initial agreement period.
    • No refunds are provided for unused ad spend once campaigns have launched.
  7. Liability
    • Zarlie is not liable for losses resulting from third-party platforms (Google, Meta, etc.).
    • Client accepts that advertising platforms may change features, costs, or performance at any time.
  8. Governing Law
    • These terms are governed by the laws of Queensland, Australia.
